Agreement on participation of the Foundation for Internet Development in the development of the .SU Registry of the Internet network

1. General

The Russian R&D Institute for Public Networks, a non-profit organization incorporated as an institution, hereinafter referred to as RIPN, and

the Foundation for Internet Development, hereinafter referred to as the Foundation, jointly referred to as the Parties,

in consideration of the fact, that RIPN is an authorized organization for functioning of .su ccTLD within the Internet network based on registration with IANA/ICANN, carries out administration of the .su top-level domain, as well as provides for its technical support and operation,

with account of the fact, that the Foundation is a non-profit organization, incorporated in accordance with the civil law of the Russian Federation with the aim to finance undertakings and projects dedicated to development of the Internet network,

acting in accordance with the Memorandum of Understanding between RIPN and the Foundation of January 20, 2001,

have concluded the present Agreement to the following effect:

2. Basic terms

.SU domain - .su top-level domain within the Internet network.

.SU Registry - organizational body, ensuring functions and development of .su top-level domain within the Internet network.

3. Objective of the Agreement

The objective of the Agreement is to create conditions for development of the .SU Registry, to determine and assign powers of the Foundation in preparation and adoption of decisions on issues of functioning and development of the .SU Registry, to determine the interaction pattern between RIPN and the Foundation for aims of forming an organizational body, which would provide for functioning and development of the .SU domain.

4. Subject of the Agreement

The present Agreement assigns the Foundations with the right to form, support functions and development of the .SU Registry. The Parties develop the .SU Registry jointly, including its information, technological and other bodies, which should provide for functions and development of the .SU domain.

Concurrently, the Foundation is assigned with the right and has the responsibility for the following:

• to set goals, tasks and directions of .SU Registry development,
• to set the policy, rules and procedure for creation, functions and financing of the .SU Registry,
• in conjunction with RIPN to interact with international organizations in the interests of developing the .SU Registry.

Concurrently, RIPN

• holds the right and bears ensuing responsibilities of an authorized organization for functioning of the .SU domain,
• implements functions of placing and storing second-level domain information and respective domain name servers (DNS servers) on .SU domain root DNS servers.

5. Rights and obligations of the Foundation

5.1. The present Agreement assigns the following right to the Foundation:

• to make decisions on issues of development of the .SU Registry and define the procedure for their implementation;
• to involve other organizations in the implementation of .SU Registry development tasks;
• to create a database of second-level domain names under the .SU domain;
• to set rules for domain name registration in the Registry data base, to set the price for registration in the data base, as well as the order of collecting the remuneration for such services;
• to act as a holder of the Registry data base and determine the modus operandi for use of the information contained in the Registry data base;
• to set the performance and interaction pattern for various network services, providing for the development of the .SU Registry;
• be the owner in the manner and on terms specified by applicable legislation of the Russian Federation in respect of objects of intellectual property, which result from intellectual activities of the Foundation and similar means for individualization of its products, work or services.

5.2. Responsibilities of the Foundation:

• to form a Committee of the Foundation responsible for elaboration of regulating documents referring to the subject of the present Agreement, which should be headed by a RIPN representative in accordance with "Administrative Contact" of SU1-DOM record in the IANA/ICANN data base;
• to facilitate involvement of the local Internet-community in the activities of the Foundation;
• when signing contracts with committed organizations to include provisions into the texts of these contracts which would correspond with the volume of rights and obligations of the Foundation under the present Agreement.

6. Rights and obligations of RIPN

6.1. In order to implement duties of an authorized organization for functioning of the .SU domain RIPN has the right to appoint its representative for interaction with the Foundation.

6.2. Responsibilities of RIPN:

• to use only the Registry data base of second-level domain names, organized by the Foundation, for placing and storing domain information and respective domain name servers on .SU domain root DNS servers;
• to ensure regular (round the clock) functioning of the DNS server under .SU domain by means of its technical facilities and provide the Foundation with the right to access information necessary for functioning of the .SU Registry data base;
• to render consultations to the Foundation on issues, arising during implementation of the present Agreement.

7. Responsibilities of Parties

7.1. The Parties are responsible for failed or inadequate implementation of terms of the present Agreement in accordance with the civil law of the Russian Federation with account of provisions set by the present Agreement.

7.2. The Foundation bears unilateral responsibility before any third party in connection with its activities on implementation of the present Agreement. The responsibility of RIPN before the Foundation in case of disputes is limited to RIPN responsibilities stipulated by the present Agreement.

8. Validity of the Agreement

The present Agreement enters into force from the date of its signing and is valid until 01.06.2002. In the future the Agreement is automatically extended for another calendar year, subject the Foundation fulfills its commitments under the present Agreement.

The present Agreement can be terminated before its expiration upon agreement of both Parties.

The Agreement may be terminated by RIPN unilaterally in the case the Foundation fails to meet its commitments undertaken in accordance with the provisions of the present Agreement (any provision) by giving the Foundation not less than a 90 days' notice in writing.

9. Miscellaneous

None of the Parties can transfer its rights or obligations under the present Agreement without consent of the counterpart.
